2. Definitions

• "User" refers to any individual or entity that accesses or uses the Platform.
• "Vendor" refers to a User who lists products or services for sale on the Platform.
• "Customer" refers to a User who purchases products or services from Vendors on the Platform.
• "Content" refers to any information, data, text, images, or materials uploaded to the Platform.
• "Subscription" refers to a paid plan that allows Vendors to list products on the Platform.

3. User Accounts

3.1 Account Registration

To access certain features of the Platform, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for safeguarding your account credentials, including your password. You agree to notify us immediately of any unauthorized use of your account or any other breach of security. OsunVendor will not be liable for any loss or damage arising from your failure to comply with this security obligation.

3.3 Account Types

• Customer Account: For individuals who want to browse and purchase products.
• Vendor Account: For businesses or individuals who want to sell products on the Platform.
• Admin Account: For OsunVendor administrators.

4. Vendor Responsibilities

4.1 Listing Products

Vendors agree to provide accurate, complete, and truthful information about their products, including pricing, availability, and product descriptions. All product listings must comply with applicable laws and regulations.

4.2 Product Quality

Vendors are responsible for the quality, authenticity, and safety of the products they sell. Any product that does not meet the described specifications or is defective must be addressed promptly.

4.3 Order Fulfillment

Vendors must fulfill orders in a timely manner and provide accurate shipping information. Failure to fulfill orders may result in account suspension or termination.

4.4 Customer Service

Vendors must provide responsive and professional customer service to their customers. This includes responding to inquiries, resolving complaints, and handling returns or exchanges in accordance with our policies.

5. Customer Responsibilities

5.1 Accurate Information

Customers agree to provide accurate and complete information when placing orders, including shipping addresses and contact details.

5.2 Payment

Customers must ensure that they have sufficient funds or credit to complete their purchases. Payments must be made using approved payment methods.

5.3 Reviews and Feedback

Customers may leave reviews and feedback about vendors and products. Reviews must be honest, fair, and based on actual experiences. We reserve the right to remove inappropriate or false reviews.

6. Payments and Fees

6.1 Vendor Subscriptions

Vendors are required to subscribe to a paid plan to list products on the Platform. Subscription fees are billed in advance and are non-refundable except as required by law.

6.2 Transaction Fees

OsunVendor may charge transaction fees on sales made through the Platform. These fees will be clearly disclosed before any transaction is completed.

6.3 Payment Processing

All payments are processed through secure third-party payment gateways. OsunVendor does not store your payment information.

7. Intellectual Property

7.1 Ownership

The Platform and its original content, features, and functionality are owned by OsunVendor and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

7.2 User Content

By uploading content to the Platform, you grant OsunVendor a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display your content in connection with the Platform.

7.3 Trademarks

The OsunVendor name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of OsunVendor. You may not use these marks without our prior written permission.

8. Prohibited Activities

You agree not to engage in any of the following prohibited activities:

• Violating any laws, regulations, or third-party rights
• Uploading or transmitting viruses, malware, or any other malicious code
• Attempting to gain unauthorized access to the Platform or other users' accounts
• Using the Platform for any fraudulent or deceptive purpose
• Harassing, abusing, or harming other users
• Posting inappropriate, offensive, or illegal content
• Interfering with the operation of the Platform
• Copying, modifying, or distributing Platform content without permission

9. Termination

We reserve the right to terminate or suspend your account at any time, with or without cause, and with or without notice, for any reason, including without limitation:

• Violation of these Terms
• Fraudulent or illegal activity
• Non-payment of fees
• Inactivity for an extended period
• At our sole discretion

Upon termination, your right to use the Platform will immediately cease. You may also terminate your account at any time by contacting us.

10. Disclaimer of Warranties

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. OSUNVENDOR DOES NOT WARRANT THAT:

• The Platform will function uninterrupted, secure, or available at any particular time
• Any errors or defects will be corrected
• The Platform is free of viruses or other harmful components
• Any products or services obtained through the Platform will meet your expectations

We do not guarantee the accuracy, completeness, or reliability of any content on the Platform. Any reliance on such content is at your own risk.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL OSUNVENDOR, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH THE USE OF THE PLATFORM.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO US IN THE PAST SIX MONTHS, OR IF GREATER, ONE HUNDRED DOLLARS ($100).

12. Indemnification

You agree to indemnify, defend, and hold harmless OsunVendor and its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from:

• Your use of and access to the Platform
• Your violation of any term of these Terms
• Your violation of any third-party right, including without limitation any copyright, property, or privacy right
• Any claim that your content caused damage to a third party

14. Governing Law

These Terms shall be governed and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or the Platform shall be subject to the exclusive jurisdiction of the courts located in Osun State, Nigeria.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on this page and updating the "Last Updated" date at the top of this page.
